On 12 November 2024, the Court of Appeal in The Hague handed down its ruling in the appeal proceedings between Shell plc and Milieudefensie, a non-governmental organization. Shell appealed a district court ruling ordering the company to reduce its global CO2 emissions by 45% by 2030 compared to 2019 levels, through the group’s corporate policy.

The Court of Appeal ruled that, while Shell is indeed obligated to reduce its CO2 emissions, a civil court cannot require it to meet specific reduction targets. As a result, the Court of Appeal overturned the ruling and rejected Milieudefensie’s claims.

Samuel is a Shareholder in the firm’s corporate law practice. Samuel advises corporates, financial institutions and private capital players on virtually all aspects of M&A and corporate law, with a special focus on public M&A and ECM transactions. He also advises on corporate governance, stock listing rules and ESG. Samuel has over a decade of experience on the full range of corporate transactions, including domestic and international mergers, acquisitions and disposals, public offers, controlled auctions, cross-border mergers, dual track processes, IPOs, private placements, accelerated bookbuild offerings, rights issues and SPAC transactions.

In addition, Samuel is an Assistant Professor at Erasmus School of Law and publishes articles and books on various subjects related to his work. He is a member of the team of permanent contributors of a Dutch corporate law journal (Tijdschrift Ondernemingsrecht) and editorial board member of another corporate law journal (Maandblad voor Ondernemingsrecht). In 2020, he completed a Ph.D. by publishing his book on The Listed Company, Corporate Governance and Strategy.

Monisha holds an LL.M. degree in financial law and civil law with extracurricular subjects in the fields of corporate law and intellectual property law at Leiden University. During her studies, she gained years of experience as a clerk at the Court of Appeal of The Hague and as an intern at several law firms in the Netherlands. Monisha is a member of the Dutch Bar Association and a member of the Dutch association of young litigation lawyers and the Corporate Litigation Association.
